Indemnification?Customer agrees that it shall defend, indemnify, save and hold MA Conditioning LLC harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney’s fees asserted against MA Conditioning LLC , its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by customer, its agents, employees or assigns. Customer agrees to defend, indemnify and hold harmless MA Conditioning LLC against liabilities arising out of; (1) any injury to person or property caused by any products sold or otherwise distributed in connection with MA Conditioning LLC ; (2) any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party; (3) copyright infringement and (4) any defective products sold to customers MA Conditioning LLC server.
Description of potential risks:
You understand that the reaction of the heart, lung, and blood vessel system to exercise cannot always be predicted with accuracy. You know there is a risk of certain abnormal changes occurring during or following exercise which may include abnormalities of blood pressure or heart attacks. Use of the weight lifting equipment and engaging in heavy body calisthenics may lead to musculoskeletal strains, pain and injury if adequate warm-up, gradual progression, and safety procedures are not followed. You understand and agree that MAC LLC/Golfconditioningnow.com shall not be liable for any losses or damages of any kind arising from injuries you may sustain during or as a result of all exercise Programs. You understand and agree that you will be using various exercise equipment during the golf training exercises and/or programs and will do so at your own risk. You specifically agree that you assume full responsibility for any injuries, losses, or damages you may suffer during or as a result of the golf training exercises and/or programs except for those due to the gross negligence of MAC/Golfconditioningnow.com. You hereby fully and forever waive, release, and discharge MAC/Golfconditioningnow.com, its members, managers, employees, agents, successors, and assigns from any and all claims, demands, damages, and rights of action related, directly or indirectly, in any way to the golf training exercises and/or program, except for those claims arising from the gross negligence of MAC/Golfconditioningnow.com.
You understand that you should consult a physician before engaging in any physical exercise or activity, including the golf training exercises and/or programs. You affirm that you have had a recent physical check-up and have a physician’s permission to engage in aerobic and/or anaerobic conditioning, including the exercises and activities generally described above.
You understand and hereby warrant that you are in good physical condition, and that you have no disability, impairment, condition, or ailment, of any kind, that does or may prevent you from engaging in, or that does or may affect your ability to participate in, active or passive exercise or other physical activities such as those generally described above.
You understand and agree that the golf training exercises and/or programs does not constitute “health care” and MAC/Golfconditioningnow.com is not a “health care provider” as defined in the Health Insurance Portability and Accountability Act of 1996.
You understand that MAC/Golfconditioningnow.com may develop exercise regimens that you will do on your own and you fully accept all responsibility for any event that may occur during your independent exercise sessions.
Arbitration By using any MA Conditioning LLC services, you agree to submit to binding arbitration. If any disputes or claims arise against MA Conditioning LLC or its subsidiaries, such disputes will be handled by an arbitrator of MA Conditioning LLC . An arbitrator from the American Arbitration Association or the National Arbitration Forum will be selected in the state of Colorado. Arbitrators shall be attorneys or retired judges and shall be selected pursuant to the applicable rules. All decisions rendered by the arbitrator will be binding and final. The arbitrator’s award is final and binding on all parties. The Federal Arbitration Act, and not any state arbitration law, governs all arbitration under this Arbitration Clause. You are also responsible for any and all costs related to such arbitration.
